Company Formation in Serbia
A foreign national can own 100% of a Serbian d.o.o. and act as its sole director from day one — no local partner is required. The statutory minimum capital is symbolic at 100 dinars, which makes Serbia one of the cheapest places in Europe to hold a company in your own name.
What IS Group handles
We prepare the founding documents, register the company at the Business Registers Agency, obtain the tax number and the beneficial-owner registration, arrange the registered address and put you in front of a bank for the account.
The route is short when the paperwork is finished before you touch the register: the Agency decides within five working days of a complete filing.
We do not sell nominee directors. In Serbia the director is the director, in their own name — that is what the law expects.
Planning a company in Serbia?
Tell us your nationality and whether you intend to live in Serbia. That decides whether the company is one process or two, because a residence permit is a separate application.
Apply for business formation Ask us a questionThe cost is not the capital
The share capital is under a euro. The figure that actually matters is the Agency filing fee, plus the translation and apostille of documents signed in your home country, plus accounting once the company is trading.
Documents signed abroad have to travel. Anything executed outside Serbia is normally notarised and apostilled in the country of origin before the register will accept it. Getting that done first is what keeps the whole process to days rather than weeks.
The company, step by step
- Settle the company details — name, main activity code and share capital. One founder or several, resident or not, changes nothing about eligibility.
- Appoint at least one director. Any nationality is accepted, and a non-resident can hold the office from incorporation.
- Take a registered address in Serbia. A legal seat is required; commercial virtual-office addresses are commonly used for this.
- Prepare and legalise the documents — the founding decision and the charter, plus proof of identity for the founders and the director. Signed abroad, they are notarised and apostilled at home.
- File at the Business Registers Agency with a qualified electronic signature. A complete application is decided within five working days.
- Register the beneficial owner and obtain the tax number once the company exists.
- Open the bank account. Serbian banks run their own checks on the director, and an application goes better when the director attends in person.
- Put the accounting in place from the start. Filings are electronic and monthly or quarterly, so they cannot be left until later.
Where the documents are prepared abroad and a bank account is needed, allow two to four weeks start to finish.
The facts
Living in Serbia is a second question
Owning a Serbian company does not, on its own, give you the right to live in Serbia. A temporary residence permit is a separate application with its own conditions, and it is normally built on activity in the company you own. Decide whether you intend to relocate before you incorporate, because it changes the plan.
Rules change. Ask us before you assume.
Capital requirements, tax rates, filing fees and permit categories are set by government and can change at any time. The only answer that counts is the one for your nationality, your business and your circumstances.
