Company Formation in Azerbaijan
Azerbaijan registers a company in three working days and can do it without you being there. The part that genuinely requires your presence is the bank — and the reason most people set up here is that a company gives you a route to residence without needing a work permit at all.

We work with a partner law firm in Baku. They register the company, open the bank account, provide the legal address and take the director through to a temporary residence permit.
We can form the company while you are abroad, using a power of attorney. What we will not do is pretend the bank account can be opened the same way — Azerbaijani law requires the director in person, and we plan your trip around that one appointment.
We do not offer nominee directors here. The residence route depends on you genuinely being the director.

This is the point most people miss. If you establish a company in Azerbaijan, you do not need a work permit to run it. Instead you apply for a temporary residence permit as the director of your own company.
That is a real advantage over most of the region, where owning the company and being allowed to work in it are two separate battles. Here, the company is the basis for both.
Three routes to residence
Azerbaijan grants temporary residence on more than one basis. The right one depends on whether you want a business or simply a permit, and on where you would rather your money sat.
Which one to choose
A deposit is the quickest way to a permit and needs no business at all — the money simply has to sit in an Azerbaijani bank. Property ties up the same amount but buys an asset you keep. The company route needs the least money — AZN 50,000 rather than 100,000 — and is the only one of the three that gives you a trading business at the end of it.
If your aim is a residence permit and nothing more, deposit is simplest. If you actually intend to trade in Azerbaijan, the company route costs half as much and does two jobs at once. We will say which fits rather than selling you the largest one.
Setting up the company, step by step
- Decide the structure — founder and director may be the same person, and both may be foreign.
- Provide passports for the founder and the director. If they are the same person, one passport is enough.
- Issue a power of attorney, notarised and apostilled or legalised. Signed inside Azerbaijan it needs no legalisation at all, which is worth knowing if you are visiting anyway.
- Register the company — three working days.
- Open the bank account — one to two working days after registration, with the director attending in person.
- Receive the company stamp and legal address. The address is provided on a termless basis, so it is not an annual renewal.
- Apply for the director's residence permit once the charter capital is in place, if residence is part of your plan.
The facts
The bank will not open the account without you
The company can be registered while you are anywhere in the world. The bank account cannot. Azerbaijani legislation does not permit a company account to be opened without the director present — no power of attorney, no representative, no exception.
So plan one trip to Baku. Everything else can be arranged around it, and if you sign your power of attorney while you are there you avoid apostille altogether.
Where multiple shareholders complicate things
The company route to residence is granted to you as director, on the strength of the company's charter capital. Where a company has several shareholders, published rules also refer to a majority holding, so the ownership split can decide whether you qualify.
If residence is part of your goal, tell us the intended shareholding before the company is formed. Restructuring shares afterwards is far more expensive than getting the split right at the start.
Two entry rules that apply to you personally
Azerbaijan refuses entry and transit to citizens of Armenia and to holders of Kosovo passports, and does not recognise passports issued by Abkhazia, Northern Cyprus, the Sahrawi Republic, Somaliland, South Ossetia or Transnistria.
Anyone who has visited Nagorno-Karabakh or the surrounding districts without Azerbaijani permission is refused entry and may be placed on a permanent list. This applies to company founders exactly as it applies to tourists — and since you must attend the bank in person, it would stop the formation dead.
